Who Can Apply for DIN and Why It Matters

Who Needs DIN?

Any person intending to be appointed as a director in an Indian company—whether Indian or foreign national—must apply for a DIN. Even directors in LLPs must acquire a Designated Partner Identification Number (DPIN), a variant of DIN.

Foreign Nationals Eligible

Foreigners can also apply for DIN by submitting notarized passport copies and address proof. DIN makes it possible for them to serve on Indian company boards, subject to FDI and FEMA compliance.

Permanent & Unique Identity

Once allotted, your DIN remains valid for life unless cancelled or surrendered. It cannot be transferred or reassigned. A person can’t hold more than one DIN by law.

Every director must keep their DIN active through annual KYC. Misuse, non-filing, or duplication of DIN can result in fines, disqualification, and even prosecution under the Companies Act.

What You Must Do Once DIN is Issued

File DIR-3 KYC Annually

Every DIN holder must validate their identity yearly by filing DIR-3 KYC with the MCA. Failure to do so will deactivate your DIN, and you may have to pay a ₹5,000 penalty to reactivate it.

Quote DIN in All Director Filings

Once you have your DIN, you must use it in all official documents, forms, and resolutions as a director. This includes incorporation forms, board meeting attendance, and shareholding disclosures.

Update Contact Info Promptly

If your mobile number, address, or email changes, you must update the MCA records immediately through DIN e-filing. Outdated contact info can block communications and cause legal issues.

Maintain DSC Validity
